1. Agreement to Terms

By accessing or using the services provided by Zinger Inc ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Zinger Inc provides web design, development, and AI automation services. Our services include but are not limited to:

• Custom website design and development
• AI-powered workflow automation
• Website maintenance and support
• Consulting and strategy services
• Integration with third-party platforms

3. User Responsibilities

As a client or user of our services, you agree to:

• Provide accurate and complete information
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the legal right to use any content you provide
• Not use our services for any illegal or unauthorized purpose
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms are established in individual project agreements. Generally:

• Deposits are required before project commencement
• Final payment is due upon project completion
• Late payments may incur additional fees
• Refunds are handled on a case-by-case basis
• All prices are in Canadian dollars (CAD) unless otherwise specified

5. Intellectual Property

Upon full payment for services rendered:

• Clients receive ownership of the final deliverables
• Zinger Inc retains the right to showcase work in our portfolio
• Pre-existing intellectual property remains with Zinger Inc
• Third-party licenses (fonts, plugins, etc.) are subject to their respective terms
• Source code and design files are provided as agreed in the project contract

6. Project Timelines

We strive to meet all agreed-upon deadlines. However:

• Timelines are estimates and may be subject to change
• Delays caused by client feedback or content provision may extend timelines
• We will communicate any anticipated delays promptly
• Force majeure events may impact delivery schedules

7. Revisions and Changes

Project agreements typically include a set number of revision rounds. Additional revisions may incur extra charges. Changes to project scope will be documented and may require revised timelines and pricing.

8. Warranty and Support

We provide:

• 30 days of complimentary post-launch support
• Bug fixes for issues directly related to our work
• Technical guidance during the warranty period

This warranty does not cover issues arising from third-party services, client modifications, or hosting environments outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Zinger Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Confidentiality

We respect the confidentiality of client information and will not disclose sensitive business information without consent, except as required by law.

11. Termination

Either party may terminate services with written notice. Upon termination:

• Client is responsible for payment for work completed
• Zinger Inc will provide deliverables for work paid to date
• Refunds for deposits are subject to project agreement terms

12. Third-Party Services

Our services may integrate with third-party platforms (hosting, analytics, payment processors, etc.). These services are subject to their own terms and conditions. We are not responsible for third-party service failures or policy changes.

13. Governing Law

These Terms of Service are governed by the laws of Ontario, Canada. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in Ontario.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Significant changes will be communicated to active clients. Continued use of our services constitutes acceptance of updated terms.
